Introduction
In nonprofits, there are two types of boards, Governing and Operational. When organizations have an Executive Director, the board will operate as a governance board and the Executive Director will be in charge of the operations. When organizations do not have an Executive Director, the board is operational in that it handles the tasks of both.
Roles of Governance
- Set strategic direction and policies
- Ensure legal and ethical integrity
- Oversee and evaluate Executive Director (if applicable)
Roles of Operations
- Handled by Executive Director (if applicable)
- Implement board policies and strategic plans
- Manage daily operations and staff
- Reports to the board on operational progress and challenges
